Unified Technicians, a Managed Service Provider based in Canada, provides its services to you in accordance with the following Terms of Service (“TOS”). By using Unified Technician's services, you agree to comply with these terms and conditions. If you do not agree, please do not use our services.
Purpose of the TOS: These Terms of Service govern your use of Unified Technician’s offerings, including but not limited to software, documentation, and technical support (collectively referred to as the “Services”).
Agreement to TOS: By accessing or using our Services, you confirm your agreement to these Terms. If you do not accept these Terms, you may not use our Services.
Description of Services: Unified Technicians provides a range of services, including but not limited to IT support, network management, software development, and data backup and recovery. Specific services and deliverables will be outlined in your separate agreement with us.
Limitations of Services: While Unified Technicians strives to provide reliable and high-quality services, we do not guarantee that Services will be uninterrupted or free from errors. We are not liable for any loss or damage caused by such interruptions or issues.
Payment Terms: All Services must be paid in advance unless otherwise agreed. We accept credit card, check, or wire transfer as methods of payment.
Fees: Monthly service fees are billed as outlined in your individual agreement. The specific fee amount and billing cycle will be provided separately.
Refund Policy: All payments made for Services are non-refundable unless explicitly stated otherwise.
Data Security: Unified Technicians takes your data seriously and uses industry-standard measures to safeguard it. This includes the use of secure servers, encryption, and firewalls.
Confidentiality Agreement: We will not share, disclose, or sell your data to third parties without your explicit consent, unless required by law.
Service Level Guarantees: Specific service level expectations and uptime guarantees will be outlined in your separate agreement or SLA.
Reporting and Resolving Service Issues: If you experience a service issue, please contact our support team. Unified Technicians will make every reasonable effort to resolve the issue promptly.
Ownership of Intellectual Property: All intellectual property related to the Services remains the exclusive property of Unified Technicians, unless otherwise agreed in writing.
Restrictions on Use: You may only use our intellectual property for the purpose it was provided. Reproduction, distribution, or modification without prior consent is prohibited.
Conditions for Termination or Cancellation: Unified Technicians reserves the right to terminate or suspend Services if you breach these TOS or any other applicable agreements.
Procedures for Termination or Cancellation: Should termination or cancellation occur, you will be notified in writing. Any outstanding fees will become immediately due.
Limitations of Liability: Unified Technicians will not be liable for any indirect, incidental, special, or consequential damages related to the use of our Services.
Indemnification: You agree to indemnify and hold harmless Unified Technicians, including its employees, directors, and agents, from any claims, damages, or legal fees arising from your use of the Services or your violation of these Terms.
Agreement to Arbitration or Mediation: Any disputes arising under or in connection with these TOS shall be resolved through arbitration or mediation, as mutually agreed upon by both parties.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Canada and the state or territory in which Unified Technicians is registered.
Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in the relevant state or territory of Canada.
Entire Agreement: These Terms represent the complete agreement between you and Unified Technicians regarding the use of our Services.
Severability: If any provision in these TOS is found to be unenforceable, the rest of the Terms will remain in effect.
No Waiver: Failure to enforce any right or provision shall not be considered a waiver unless stated in writing.
Force Majeure: Unified Technicians is not liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, acts of government, or other force majeure events.
